Welcome to Intelexie.com, owned and operated by Intelexie LLC (“Intelexie,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, products, verification systems, data-management tools, and related services (collectively, the “Services”).
By accessing or using any part of our Services, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, you must discontinue use immediately.
1. General Use and Acceptance
Your use of Intelexie constitutes your agreement to be legally bound by these Terms. No verbal statements, written correspondence, or external representations — whether made by employees, independent contractors, affiliates, or third parties — shall override or amend these Terms.
All users, members, account holders, affiliates, sales agents, and contractors are bound by the rules set forth herein, regardless of any separate communication, email, or message outside this document.
2. Nature of Services
Intelexie provides business verification, structured data management, relevancy tools, and geo-fencing technology intended to enhance business visibility and credibility online.
While we implement advanced systems and best practices, Intelexie does not guarantee any specific performance, ranking, visibility, or revenue outcome.
The Services are offered “as-is” and “as-available.” No express or implied warranties, promises, or guarantees of results are made.
Outcomes depend on numerous factors beyond our control, including but not limited to third-party platform policies, algorithmic updates, content accuracy, and market conditions.
3. No Guarantee of Results
You acknowledge and agree that:

• Any improvement in online visibility, ranking, or trust signals depends on external search engine algorithms, third-party data sources, and user behavior.

• Intelexie cannot guarantee or warrant that any verification, listing, or structured data enhancement will result in specific visibility improvements, lead generation, or increased business performance.

• Any reference to potential benefits, growth, or visibility are illustrative examples, not assurances.

• You assume full responsibility for how the data, listings, or integrations are used and represented by your business.

4. Independent Contractors
All individuals who promote, sell, manage, or provide Intelexie services — including but not limited to salespeople, account managers, affiliates, and regional directors — are classified as independent contractors and not employees or legal representatives of Intelexie LLC.
These independent contractors are responsible for their own business conduct, representations, and tax obligations.
They do not have authority to:

• Bind Intelexie to any promise or guarantee,

• Modify these Terms, or

• Enter into any agreement on behalf of Intelexie LLC.

Intelexie is not liable for any statement, overpromise, or representation made by an independent contractor that is inconsistent with these Terms.
If any individual associated with Intelexie makes a statement or claim not explicitly supported in writing by these Terms or our official website, such communication shall be considered void and non-binding.
5. Verbal and Written Promises Outside These Terms
Only the policies, pricing, and representations published on www.intelexie.com or official company documents are binding.
Any claim, assurance, or promise made verbally, by email, text, social media, or third-party platform that differs from these Terms shall have no legal effect and shall not be considered a part of your agreement with Intelexie.
All services and expectations are governed strictly and exclusively by the language of these Terms and Conditions.
6. Limitation of Liability
To the fullest extent permitted by applicable law, Intelexie, its owners, employees, officers, affiliates, and contractors shall not be liable for any direct, indirect, incidental, consequential, punitive, or exemplary damages, including but not limited to:

• Loss of revenue or profits,

• Business interruption,

• Data loss,

• Reputation damage,

• or any other form of loss resulting from the use or inability to use our Services.

This limitation applies even if Intelexie was advised of the possibility of such damages.
You acknowledge and agree that Intelexie’s total liability to you, for any reason and under any theory, shall not exceed the total amount paid by you for Services during the twelve (12) months preceding the event giving rise to the claim.
7. Indemnification
You agree to defend, indemnify, and hold harmless Intelexie LLC, its affiliates, directors, officers, employees, agents, and contractors from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorneys’ fees) arising from:

• Your use or misuse of the Services,

• Any violation of these Terms,

• Misrepresentation of data or business information,

• Any unauthorized use of Intelexie trademarks or content, or

• Any dispute or misunderstanding involving independent contractors or third parties.

8. Arbitration Agreement and Waiver of Class Action
You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services shall be resolved exclusively through binding arbitration, and not in court.

• Arbitration shall be conducted by a neutral arbitrator selected by Intelexie, under the rules of the American Arbitration Association (AAA) or another body chosen by Intelexie.

• Arbitration will take place in a venue chosen by Intelexie, currently Lake County, Illinois, USA.

• You expressly waive any right to participate in a class action, group arbitration, or collective legal proceeding.

• Each party shall bear its own legal costs, except as required by law.

• Any arbitration decision shall be final and binding, with limited rights of appeal.

9. Force Majeure
Intelexie shall not be held liable for any delay or failure to perform due to circumstances beyond its reasonable control, including but not limited to acts of nature, internet outages, system failures, government restrictions, cyberattacks, data loss, power interruptions, pandemics, or labor disputes.
10. Intellectual Property
All content, code, graphics, databases, verification tools, and trade names (including GeoFence™, VeriSigned™, and Intelexie™) are the exclusive property of Intelexie LLC and protected under U.S. and international law.
You may not copy, reproduce, reverse-engineer, or distribute any materials without express written consent.
11. Termination of Service
Intelexie reserves the absolute and unrestricted right to suspend, deactivate, or terminate any Service, membership, listing, or account at any time, for any reason, with or without prior notice or explanation.
Termination may occur at Intelexie’s sole discretion, including but not limited to cases involving:

• Violation of these Terms or any other company policy,

• False, misleading, or incomplete information provided to Intelexie,

• Conduct deemed harmful to the integrity, reputation, or operations of Intelexie,

• Non-payment or chargeback activity,

• Abuse of Services or platforms, or

• Any other reason Intelexie deems appropriate in its sole judgment.

Termination of service will not result in any form of refund, credit, or compensation, regardless of remaining subscription time, verification progress, or any other circumstance.
All payments made to Intelexie are considered final, non-refundable, and non-transferable.
Intelexie is under no obligation to provide explanation, evidence, or justification for termination decisions.
By using our Services, you expressly acknowledge and agree that Intelexie may discontinue your access or deactivate your account without notice or recourse.
12. Data Accuracy and User Responsibility
Clients and users are solely responsible for ensuring the accuracy, legality, and currency of all business data, listings, content, and materials provided to Intelexie.
Intelexie does not verify, warrant, or guarantee the truthfulness or legality of information supplied by clients or independent contractors.
Any errors, outdated information, or policy violations arising from user-provided data remain the sole responsibility of the client or submitting party.
13. Third-Party Platforms and Integrations
Intelexie Services may interact with or rely upon third-party platforms, APIs, or data sources (such as Google, Bing, Apple Maps, or AI systems).
Intelexie has no control over such third-party systems and shall not be held liable for interruptions, policy changes, or outcomes resulting from external platform actions or updates.
Clients acknowledge that third-party integrations are subject to change and agree that Intelexie shall not be responsible for any resulting performance impact or data alteration.
14. AI and Automated Systems Disclaimer
Some Intelexie Services utilize automated tools, crawlers, or artificial intelligence systems to assist in data analysis, categorization, and business verification.
While these systems are designed for accuracy, no AI or automation is infallible.
Intelexie makes no representation or warranty regarding the correctness, completeness, or interpretation of AI-generated results, reports, or recommendations.
Users agree to independently verify all AI-assisted outputs before relying upon them for any business decision.
15. Refund and Billing Policy
All payments to Intelexie are final and non-refundable.
By submitting payment, you agree not to dispute charges through your bank, credit card company, or payment processor without first contacting Intelexie Support in writing.
Attempted chargebacks or unauthorized payment reversals will be considered a material breach of these Terms and may result in immediate termination of Services.
16. Non-Solicitation and Non-Interference
Users, contractors, and affiliates agree not to solicit, divert, or attempt to contract directly with any client, vendor, or business contact introduced through Intelexie.
Any attempt to replicate Intelexie’s proprietary verification systems, technology, or client acquisition model constitutes a violation of these Terms and may result in legal action.
17. Notice and Communication Policy
All official notices, communications, or updates from Intelexie shall be delivered via company-approved channels, including official email addresses ending in “@intelexie.com” or notices posted directly on the Intelexie website.
Any message, promise, or agreement originating outside of these official channels shall not be considered valid or binding upon Intelexie LLC.
18. Non-Disparagement
You agree not to publicly disparage or make false or misleading statements about Intelexie, its services, employees, or affiliates.
Constructive feedback should be provided privately through official support channels.
Violation of this clause may result in account termination and legal action for defamation or business interference.
19. No Partnership or Employment Relationship
Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and Intelexie.
No user, contractor, or affiliate is authorized to speak or act on behalf of Intelexie except as expressly permitted in writing.
20. Modifications to Terms
Intelexie reserves the right to modify, update, or replace these Terms at any time.
It is your responsibility to review them periodically. Continued use of our Services constitutes acceptance of any revised Terms.
21. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict-of-law principles.
Any dispute not subject to arbitration shall be heard exclusively in Lake County, Illinois.
22. Severability
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
23. Entire Agreement
These Terms constitute the entire agreement between you and Intelexie LLC. They supersede all prior or contemporaneous communications, whether oral or written, regarding the subject matter herein.
No agent, representative, or independent contractor has the authority to modify these Terms.
